In view of the changes that have taken place in the structure of the Baltic Industrial Group, and with the announcement by Westinghouse Electric Company of a list of planned Polish suppliers, to meet the needs of investments in the country’s energy transition, the GPB Board of Directors has decided to sanction work on the preparation of Energomontaż – Północ Gdynia S.A. and Baltic Operator Sp. z o.o. as links in the supply chain for investment in Poland’s first nuclear power plant.

In connection with the above, the GPB Management Board would like to announce the formal appointment of a Board Plenipotentiary for Nuclear Energy.

The GPB Board entrusts this function to Mr. Wiktor Neć, who has been associated with Group companies since 2018 as Project Manager. The activities will be carried out under the special supervision of the GPB Board of Directors in the persons of Mr. Adam Kowalski – President of the GPB Board of Directors and Ms. Dr. Magdalena Czuba-Wąsowska – Vice President of the GPB Board of Directors. In addition, the Group’s Management Board emphasizes the importance of the project both from the perspective of the development strategy of the Baltic Industrial Group, as well as from the perspective of the strategy of the owner, namely the Industrial Development Agency S.A., taking into account the state’s strategy in the energy transition.

We would like to inform you that on October 26, 2023. The District Court Gdańsk-Północ in Gdańsk, 6th Commercial Department issued a decision by which it approved the arrangement in the proceedings for approval of the arrangement of “Energomontaż-Północ Gdynia” S.A. in restructuring, based in Gdynia.

The decision became final on November 10, 2023, in accordance with Article 171 paragraph 1 in connection with paragraph 2 of the Act of May 15, 2015 – Restructuring Law (Journal of Laws of 2022, item 2309, as amended). Zimmerman Filipiak Restrukturyzacja S.A., based in Warsaw, assumed the function of supervisor of the implementation of the arrangement as of the date the ruling approving the arrangement became effective.

As of the date on which the ruling approving the arrangement becomes final, “Energomontaż-Północ Gdynia” S.A. regains management of its assets. This means that it independently conducts business activities without the supervision of the restructuring court and other non-judicial bodies.

All liabilities of “Energomontaż-Północ Gdynia” S.A. arising before the arrangement date, i.e. before February 23, 2023, are covered by the arrangement. Liabilities covered by the composition agreement will be performed on the terms and dates specified in the decision on approval of the composition agreement.

The management board of Energomontaż-Północ Gdynia S.A., taking into account the need to modernize the organizational and financial structure, decided to initiate restructuring proceedings – proceedings for the approval of the arrangement. The announcement on setting the arrangement date was published on February 23, 2023 in the National Register of Debtors under number 20230223/00395. The arrangement date was set for February 23, 2023. The function of the arrangement supervisor in the proceedings is performed byZimmerman Filipiak Restrukturyzacji S.A.

The company will soon start talks with creditors. The primary goal of the Company is to avoid declaring bankruptcy by restructuring liabilities by concluding an arrangement with creditors. Thanks to the initiation of restructuring proceedings, continuity of contract execution and sales will be maintained. Our contractors have constant and free access to the full offer, and can freely exercise all rights related to the services provided by the Company. As part of the proceedings, the Company will pursue a conservative liquidity policy – all current payments will be settled on an ongoing basis.

The Management Board is determined to maintain the Company’s operations and emphasizes that using restructuring proceedings is the right process leading to the recovery of the company.

Industrial Group Baltic sp. z o. o. together with the Management Board of Energomontaż-Północ Gdynia S.A. and the Management Board of Baltic Operator sp. z o. o., using the Group’s resources, are implementing a recovery program for Energomontaż-Północ Gdynia S.A. (EPG).

The current difficult situation of the Company is caused by the extraordinary change in prices of materials and services and their availability on the steel structures market, including those related to hostilities in Ukraine and the pandemic, which weighed on export contracts implemented by EPG in 2021-2022.

Energomontaż-Północ Gdynia S.A. currently participates in the implementation of the Group’s key contract in the field of offshore construction together with Baltic Operator sp z o.o. for a foreign client. The aim of joint activities is the correct and timely implementation of the contract, which will influence the proper provision of employee benefits by the Company. In the following weeks, EPG will be together with Baltic Operator sp. z o.o. continued its participation in the complete implementation of the contract and carried out the necessary restructuring activities.

Industrial Group Baltic sp. z o. o. continues to acquire new contracts on foreign markets.
